1. 1. PARTIES

   Pursuant to this Agreement, Red McCombs Media, L.P. of 6207 Sheridan Avenue Austin, Texas 78723, and Publisher shall agree to the following terms and conditions for the receipt of advertising materials ("Creative") from advertising Customers ("Customers"). This includes the serving, tracking and reporting of each Campaign made on the Red McCombs Media Network (the "Network") to Publisher Websites ("Websites").

What are the general requirements* for a publisher to join the Red McCombs Media Network?

• A minimum of 2,000 unique visitors per day
• Appropriate and regularly updated content (no adult or legally questionable content will be tolerated)
• Professional site design
• An active user base
• At least 60 percent of site traffic must come from the U.S.
